Relocation Terms and Conditions
1. Interpretations:
1.1 "Reddot X Pte Ltd," also referred to as "Reddot Movers," shall be the relocation service provider.
1.2 "Customer" refers to the individual or entity availing the relocation services.
1.3 "Service" or "Relocation Service" denotes the services provided by Reddot X Pte Ltd for the purpose of relocating the Customer's belongings.
2. Basis of Agreement:
2.1 These comprehensive terms and conditions, in conjunction with any applicable service agreement or contract, constitute the entire agreement between Reddot X Pte Ltd and the Customer, superseding any prior discussions, representations, or agreements.
2.2 No modification or amendment to these terms and conditions shall be valid unless made in writing and signed by both parties.
3. Supply of Service:
3.1 Reddot Movers undertakes to deliver relocation services in strict accordance with the terms outlined in the comprehensive service agreement.
3.2 The scope of the relocation services encompasses but is not limited to, packing, loading, transportation, unloading, and unpacking of the Customer's belongings, subject to the specific requirements as mutually agreed upon.
3.3 Reddot Movers shall exercise the utmost care, skill, and professionalism when rendering the relocation services, adhering to industry standards and best practices.
4. Customer's Obligations:
4.1 The Customer shall furnish Reddot Movers with precise and complete information regarding the items to be relocated, including any delicate or high-value possessions requiring special attention.
4.2 The Customer is solely responsible for ensuring that all items to be relocated comply with relevant laws, regulations, and permits pertaining to transportation and relocation.
4.3 The Customer shall grant full and timely access to Reddot Movers' personnel at the designated locations for the purpose of providing the relocation services, ensuring a safe and suitable working environment.
5. Non-Solicitation:
5.1 The Customer solemnly undertakes not to directly or indirectly solicit, employ, or engage any employees or subcontractors of Reddot Movers involved in providing the relocation services, for a duration of one year following the successful completion of the services.
5.2 In the event of a violation of the non-solicitation clause, the Customer agrees to pay Reddot X Movers an amount equivalent to six months' salary of the solicited employee or contractor.
6. Intellectual Property:
6.1 Any intellectual property rights, including copyrights, trademarks, trade secrets, and proprietary methodologies, associated with the relocation services, documents, software, or materials provided by Reddot Movers, shall remain the exclusive property of Reddot Movers.
6.2 The Customer shall refrain from reproducing, distributing, disclosing, or otherwise using any confidential or proprietary information belonging to Reddot X Pte Ltd without prior written consent.
7. Data Protection:
7.1 Reddot Movers shall handle and safeguard any personal data or sensitive information obtained from the Customer in strict compliance with applicable data protection laws and regulations.
7.2 The Customer hereby consents to Reddot X Pte Ltd using and processing their personal data solely for the purpose of providing the relocation services and for internal record-keeping.
8. Charges and Payment:
8.1 The Customer agrees to remit the charges for the relocation services as set forth in the comprehensive service agreement, which shall include all applicable taxes and fees.
8.2 Payment terms, invoicing details, and schedules shall be explicitly specified in the service agreement and must be diligently adhered to by the Customer.
8.3 In the event of any delay in payment, Reddot Movers reserves the right to charge interest at a reasonable rate, as specified in the service agreement.
9. Limitation of Liability:
9.1 Reddot X Pte Ltd shall not be liable for any loss, damage, or delay arising from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of terrorism, civil unrest, governmental actions, labor disputes, or supplier failures.
9.2 Reddot X Pte Ltd shall not be responsible for any damage to items that were not properly packed, labeled, or prepared by Reddot Movers' personnel, or if the items are inherently fragile, perishable, or valuable and not expressly disclosed to Reddot Movers beforehand.
9.3 The Customer agrees to indemnify, defend, and hold Reddot X Pte Ltd and its employees harmless from any claims, liabilities, losses, or expenses arising from the Customer's breach of these comprehensive terms and conditions.
10. Insurance:
10.1 The Customer may choose to acquire comprehensive insurance coverage for their belongings during the relocation process. Reddot Movers shall facilitate the Customer in obtaining suitable insurance if requested.
10.2 The insurance coverage obtained shall be subject to the terms and conditions of the insurance provider, and the Customer is responsible for thoroughly reviewing and comprehending the coverage limitations and exclusions.
11. Termination:
11.1 Either party may terminate the agreement for the relocation services by providing written notice to the other party in the event of a material breach of the comprehensive terms and conditions by the other party, subject to any cure periods specified in the service agreement.
11.2 Upon termination, the Customer shall pay any outstanding charges for the relocation services rendered by Reddot Movers up to the date of termination.
12. Confidentiality:
12.1 Both parties mutually agree to treat any information designated as confidential by the other party with the highest degree of care and protection, utilizing safeguards no less stringent than those implemented for their own confidential information.
12.2 The obligation of confidentiality shall survive the termination of the agreement for a duration of two years.
13. Dispute Resolution:
13.1 In the event of any disputes, controversies, or claims arising out of or relating to this agreement, the parties shall first endeavor to resolve the matter amicably through good-faith negotiations.
13.2 If a resolution cannot be reached through negotiations, the parties agree to engage in mediation in accordance with the rules of a recognized mediation institution, seeking a mutually acceptable resolution.
13.3 If mediation is unsuccessful or deemed inappropriate, any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of The Republic of Singapore, with each party bearing its own legal costs and expenses.
14. Governing Law:
14.1 These comprehensive terms and conditions shall be governed by and construed in accordance with the laws of The Republic of Singapore.
15. Severability:
15.1 If any provision of these comprehensive terms and conditions is deemed invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
By availing the relocation services provided by Reddot X Pte Ltd, also known as Reddot Movers, the Customer acknowledges and unequivocally agrees to be bound by these comprehensive terms and conditions.
